Terms of Use

IMPORTANT: THIS AGREEMENT INCLUDES AN ARBITRATION AGREEMENT, JURY TRIAL WAIVER, AND CLASS ACTION WAIVER. PLEASE SEE “DISPUTE RESOLUTION” BELOW.

Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of the DirectLend website(s), tools, and related services (the “Services”). By accessing or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

Who We Are
DirectLend is an online marketplace that helps U.S. small businesses get matched with potential lenders and financing partners (“Network Partners”). DirectLend is not a lender, creditor, broker of record, or financial advisor. We do not make credit decisions, issue commitments, or guarantee approvals, rates, amounts, or timing. Any loan, line of credit, or other financing you pursue is offered, underwritten, and serviced by the Network Partner you choose, under that partner’s terms and policies.

Eligibility and U.S. Use
The Services are intended for individuals 18 or older located in the United States. Not all products are available in all states.

Changes to These Terms
We may update these Terms at any time. The “Last Updated” date shows the latest version. Continued use of the Services after changes means you accept the updated Terms.

Your Information and Responsibilities
a) Accuracy: You agree that all information you provide is true, current, and complete, and that you will promptly update it as needed.
b) Your Account: If you create an account, keep your login details secure. You are responsible for activity under your account.
c) Matching and Applications: Submitting information to be matched is not a credit application. Network Partners set their own criteria and may require additional information and a hard credit pull if you choose to apply with them.
d) Communications Consent: By submitting your information, you consent to be contacted by DirectLend and, if matched, by Network Partners at the phone number(s) and email you provide, including via autodialed, prerecorded, or text messages where permitted. Message/data rates may apply. You can opt out of DirectLend marketing emails via the unsubscribe link or by emailing privacy@directlend.ai. To stop communications from a Network Partner, contact that partner directly.

Acceptable Use
You agree not to:
• Use the Services for any unlawful purpose or to violate any law or regulation.
• Copy, scrape, crawl, or harvest content or data from the Services.
• Reverse engineer or attempt to obtain the source code of the Services.
• Interfere with the security, functionality, or performance of the Services.
• Impersonate any person or entity or misrepresent your affiliation.
• Use the Services or any content to train, develop, or improve AI or machine-learning models without our prior written consent.

Intellectual Property
The Services and all related content, trademarks, logos, and software are owned by DirectLend or our licensors and are protected by law. You may use the Services only for your personal, lawful use. No rights are granted except as expressly stated in these Terms.

Third-Party Sites and Partners
The Services may link to third-party websites or tools and may display offers from Network Partners. We do not control and are not responsible for third-party content, availability, policies, or practices. Your dealings with any Network Partner are solely between you and that partner.

No Financial, Legal, or Tax Advice
Content on the Services is for general information only and is not financial, legal, tax, or investment advice. You should consult your own professional advisors.

No Guarantees
We do not guarantee matches, offers, approvals, funding amounts, timing, or that the Services will be error-free or uninterrupted. Rates, terms, and eligibility are set by Network Partners and may change at any time.

Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” DIRECTLEND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, TIMELY, ERROR-FREE, SECURE, OR UNINTERRUPTED.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECTLEND WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES. TO THE EXTENT WE ARE LIABLE NOTWITHSTANDING THE FOREGOING, OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Indemnification
You agree to indemnify and hold harmless DirectLend and our officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any law or third-party right.

Dispute Resolution (Arbitration, Class Action Waiver, Jury Trial Waiver)
a) Informal Resolution: Before filing a claim, you agree to email us at legal@directlend.ai with your name, contact info, and a description of the dispute, and to work with us in good faith for 60 days to try to resolve it.
b) Arbitration: If we cannot resolve the dispute informally, you and DirectLend agree to resolve any claim or dispute arising out of or relating to these Terms or the Services by binding, individual arbitration under the Federal Arbitration Act. Administration shall be by JAMS (or, if JAMS is unavailable, another nationally recognized administrator) under its applicable rules, as modified by this section. The arbitrator shall have exclusive authority to resolve all issues (including arbitrability), and may award individual relief permitted by law.
c) Class and Jury Waivers: YOU AND DIRECTLEND WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY.
d) Small Claims: Either party may bring qualifying claims in small-claims court in the county of your residence or Hillsborough County, Florida.
e) Opt-Out: You may opt out of arbitration within 30 days after you first accept these Terms by emailing legal@directlend.ai with your name, email, and a clear statement that you opt out of the arbitration agreement.
f) Venue and Fees: Unless required otherwise by applicable rules, the arbitration will take place by video or in Hillsborough County, Florida. The administrator’s rules govern fees. Each party pays its own lawyers’ fees unless the arbitrator awards otherwise as allowed by law.

Governing Law
These Terms are governed by Florida law, except for the arbitration terms, which are governed by the Federal Arbitration Act.

Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including suspected violation of these Terms. Sections that by their nature should survive will survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law).

Entire Agreement; Severability; Waiver
These Terms and our Privacy Policy are the entire agreement between you and DirectLend regarding the Services. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain in effect. Our failure to enforce a provision is not a waiver.
